The\nSupervisory Board of Royal DSM, a global science-based company in Nutrition,\nHealth and Sustainable Living, announces the upcoming succession of CEO Feike\nSijbesma, who will hand over his responsibilities to his Managing Board\ncolleagues Geraldine Matchett and Dimitri de Vreeze as Co-CEO\u2019s in February\n2020 and will support a smooth transition until May 2020.<\/strong><\/p>\n\n\n\n

Feike Sijbesma: transforming DSM\nfor more than a decade<\/strong><\/em>   \n<\/strong><\/p>\n\n\n\n

After 20 years on the Managing\nBoard and almost 13 years as CEO, Feike Sijbesma has decided to step down as\nCEO and hand over the company\u2019s leadership, as he seeks to pursue other\nbusiness and personal roles. Feike Sijbesma will formally hand over his responsibilities\nas CEO on February 15, 2020 to his successors, Geraldine Matchett and Dimitri\nde Vreeze, and will remain employed by DSM securing a further smooth transition\nin the coming five months, until May 1, 2020. Feike will announce his new\nengagements and roles later.<\/p>\n\n\n\n

Under the leadership of Feike\nSijbesma, DSM has gone through a significant transformation, from bulk\nchemicals company into one which focuses on Nutrition, Health and Sustainable\nLiving, generating Total Shareholders Return of about 400%. Over more than a\ndecade DSM has significantly expanded its nutrition business, divested its\nnon-core bulk chemical activities, and upgraded the materials portfolio. In\naddition to focusing on business performance and financial discipline, under\nFeike\u2019s leadership, DSM repositioned itself into the successful science-based\ncompany that it is today: purpose-led and performance-driven, putting\ninnovation and sustainability at the heart of the company and its strategy.\nToday, DSM is a truly global company with a diverse and engaged employee and\nleadership base, creating value for all stakeholders.<\/p>\n\n\n\n

Feike Sijbesma: \u201cIt has been a huge privilege to serve\nDSM for such a long time. I am deeply grateful to our Board, all my DSM\ncolleagues and business partners for working closely together and for their\nenormous commitment and contribution. I also thank our customers and\nshareholders for their trust and loyalty. And last, but not least, I am humbled\nfor having been given the opportunity to serve society by creating value on\nthree dimensions simultaneously: people, planet and profit. I will announce new\nengagements at a later moment and remain passionate driving solutions on global\ntopics. I am proud that the Supervisory Board has chosen my Managing Board <\/em>colleagues<\/em><\/a> Geraldine\nand Dimitri, as my successors. Their appointment is well deserved and reflects\nthe collaborative nature of our business, and I wish them every success for the\nfuture. <\/em><\/p>\n\n\n\n

Geraldine Matchett and Dimitri de\nVreeze: continuing DSM\u2019s journey <\/strong><\/em>   <\/strong><\/p>\n\n\n\n

After a thorough process and\nexternal benchmarking, including the advice and input from an international\nsearch firm, the Supervisory Board has decided to appoint both, Geraldine\nMatchett and Dimitri de Vreeze, the two Managing Board colleagues of Feike\nSijbesma, in a dual leadership as Co-CEO\u2019s. Together they will maintain the\nfocus on business performance, financial discipline, innovation,\nsustainability, and people, as DSM continues its journey. This dual leadership\nstructure is rooted in the long history of collaboration between them, which\nhas been keenly observed by the Supervisory Board and is expected to create a\nstrong basis for continued profitable growth. In conjunction with their Co-CEO\nrole, Geraldine Matchett will retain her responsibilities as CFO and Dimitri de\nVreeze will hold the COO responsibilities.  <\/p>\n\n\n\n

As Co-CEO\u2019s, Geraldine will focus\non financial management and capital markets communication, capital allocation,\ntalent and culture development, as well as digital strategy and new ways of\nworking. Dimitri will focus on operational delivery, SHE, customer centricity,\ndriving growth and efficiency as well as innovation and R&D programs.\nJointly they will be accountable for the performance of the company and will\ndrive the purpose led, performance driven strategy and M&A agenda.<\/p>\n\n\n\n

Geraldine Matchett and Dimitri de\nVreeze have both demonstrated strong leadership while working with Feike\nSijbesma in shaping the company over the years. Their skillsets are highly\ncomplementary, and their combined leadership will enable them to leverage their\nrespective strengths within DSM\u2019s collaborative\nenvironment.     <\/p>\n\n\n\n

Geraldine Matchett joined DSM as\nCFO and Managing Board member in 2014. Dimitri de Vreeze joined DSM in 1990,\nhas held multiple business roles and has been Managing Board member since 2013.\n<\/p>\n\n\n\n

To facilitate a smooth transfer and\ncontinuity to the new Co-CEO leadership structure, the Supervisory Board will\nask the shareholders at the AGM in May 2020 to re-appoint Chairman Rob Routs\nfor a final two years term. <\/p>\n\n\n\n
