AstraZeneca to acquire Alexion, accelerating the Company’s strategic and financial development

AstraZeneca and Alexion Pharmaceuticals, Inc. (Alexion) have entered into a definitive agreement for AstraZeneca to acquire Alexion.

Alexion shareholders will receive $60 in cash and 2.1243 AstraZeneca American Depositary Shares (ADSs) (each ADS representing one-half of one (1/2) ordinary share of AstraZeneca, as evidenced by American Depositary Receipts (ADRs)) for each Alexion share. Based on AstraZeneca’s reference average ADR price of $54.14, this implies total consideration to Alexion shareholders of $39bn or $175 per share.

The boards of directors of both companies have unanimously approved the acquisition. Subject to receipt of regulatory clearances and approval by shareholders of both companies, the acquisition is expected to close in Q3 2021, and upon completion, Alexion shareholders will own c.15% of the combined company.

Protinhi Therapeutics sluit zich aan bij Johnson & Johnson Innovation – JLABS

Protinhi Therapeutics ontwikkelt antivirale middelen op basis van een bewezen werkingsmechanisme bij ziekten zoals HIV en Hepatitis C. De door Protinhi geleide programma’s richten zich op dengue en gerelateerde virale ziekten zoals Zika en West-Nijl virus. De huidige COVID-19 pandemie heeft het belang aangetoond van het ontwikkelen van strategieën tegen dreigende virusziekten. Het Nijmeegse biotechbedrijf gaat nu de samenwerking aan met Johnson & Johnson Innovation – JLABS.

Johnson & Johnson Innovation – JLABS is een vooraanstaand life science incubatorprogramma met een wereldwijd netwerk van open innovatie-ecosystemen, dat innovators in staat stelt de levering van levensbevorderende gezondheids- en welzijnsoplossingen aan patiënten over de hele wereld te creëren en te versnellen. Als leider in innovatie helpt JLABS ondernemers in de farmacie, medische apparatuur, consumenten en gezondheidstechnologie om potentiële oplossingen voor de gezondheidszorg te bieden aan patiënten en consumenten.

Door zich aan te sluiten bij het JLABS-netwerk zal Protinhi Therapeutics de levering van hun gepatenteerde samenstellingen in nieuwe geneesmiddelen verder kunnen versnellen met als doel de huidige hoge onvervulde medische behoefte tegen aankomende virusziekten zoals COVID-10, knokkelkoorts en het West-Nijlvirus aan te pakken.

Patenten van essentieel belang voor industrie én academie

Een recent gepubliceerde studie van het Europees Octrooibureau laat zien dat Europese universiteiten en kennisinstellingen voornamelijk patenten gebruiken om hun innovaties te commercialiseren. Naast de industrie begint nu ook de academie steeds beter het nut in te zien van patenten; de manier om innovaties het lab uit te brengen naar de maatschappij.

De studie van het Europees Octrooibureau wijst uit dat 70% van de universiteiten en kennisinstellingen voor een patent kiest om hun bevindingen te beschermen en te commercialiseren. HollandBIO is blij om te horen dat de academie steeds beter begrijpt dat patenteren essentieel is om innovaties verder te ontwikkelen.  

Het aanvragen en houden van patenten is niets nieuws voor de biotechnologie-industrie, maar wel van essentieel belang. Patenten zijn het fundament waar een bedrijf op is gebouwd en de eerste stap in het valorisatieproces. Het beschermen van innovaties zorgt ervoor dat concurrenten niet zomaar zelf met deze innovatie aan de haal kunnen gaan. Dat stelt bedrijven in staat om open over de innovatie te spreken, data te delen, investeerders aan te trekken en een innovatie daadwerkelijk verder te ontwikkelen tot een product dat meerwaarde heeft voor zowel de maatschappij als de economie. HollandBIO zet zich middels het programma ‘IJzersterk Innovatieklimaat’ in op valorisatie en heeft al eerder vijf aanbevelingen gedaan die bijdragen aan het versoepelen van valorisatie. Mosa Meat backed by leading global impact investors, bringing oversubscribed round to $75M

Mosa Meat, the European food technology company that introduced the world’s first cultivated beef hamburger in 2013, announced the second closing of its Series B funding. This second closing of $20M brings the total raised so far inthe round to $75M.

The funding brings together leading global investors who are dedicated to sustainability, and tosupporting Mosa Meat in its mission to develop a cleaner, kinder way of making real beef. Theseinclude Blue Horizon Ventures, Target Global, ArcTern Ventures and Rubio Impact Ventures.

Mitsubishi Corporation, Japan, the global integrated business enterprise that develops andoperates businesses together with its offices and subsidiaries in approximately 90 countries andregions worldwide, as well as a global network of around 1,700 group companies, also invested inthe round.

Mosa Meat will use the funds to extend its current pilot production facility at its home inMaastricht, develop an industrial-sized production line, expand its team, and introduce deliciouscultivated beef to consumers.

The Series B funding round is led by Luxembourg-based Blue Horizon Ventures, the foodtechnology fund that aims to ​support and promote a positive global impact on the environment,human health, and animal welfare.

Mosa Meat welcomes this strong group of mission-aligned investors only two years after itssuccessful Series A funding, which was led by M Ventures and Bell Food Group.

Overheidsinvesteringen in Dutch Venture Initiative leveren vijfvoud aan risicokapitaal op voor ondernemers

De investeringsfondsen Dutch Venture Initiative I en II (DVI) hebben het afgelopen jaar gezorgd voor een investering van 166 miljoen euro aan durfkapitaal in 67 innovatieve ondernemers. Sinds 2013 is voor elke euro die de Nederlandse overheid in DVI investeert 5 euro risicokapitaal bij Nederlandse bedrijven terechtgekomen. Dit wordt gemeld bij het jaarverslag van DVI dat vandaag is gepubliceerd.

De twee DVI-fondsen zijn gevuld met geld van het ministerie van Economische Zaken en Klimaat (EZK), het Europese Investeringsfonds (EIF) en de Brabantse Ontwikkelingsmaatschappij (BOM) en worden uitgevoerd door EIF. De fondsen investeren in andere risicokapitaalfondsen zodat via die investeringsfondsen de beschikbare hoeveelheid kapitaal voor Nederlandse ondernemers vergroot wordt. Een investering van het DVI kan namelijk bij andere geldschieters het vertrouwen wekken om ook mee te doen.

Staatssecretaris Mona Keijzer (EZK): “Ondernemers met een wereldidee hebben soms moeite met het vinden van investeerders. Vaak gaat het om nieuwe technologieën die zich nog niet bewezen hebben en waar voor traditionele investeerders en banken relatief grote risico’s aan kleven. De overheid wil deze ondernemers over het dode punt heen helpen en meer risicokapitaal voor ze beschikbaar maken. We investeren daarom honderden miljoenen om miljarden aan risicokapitaal beschikbaar te maken. Want wie investeert in onze groeibedrijven, investeert in de toekomst van ons land.”

Sinds de start van DVI in 2013 is er in totaal via 27 fondsen 701 miljoen euro geïnvesteerd in 150 Nederlandse bedrijven, die met name actief zijn in tech en in life sciences and health. Alle bijdragen uit door DVI gesteunde fondsen tellen op tot 4 miljard euro.

Voorbeelden van gesteunde bedrijven zijn Mimetas en VarmX. Mimetas ontwikkelde de organ on a chip, miniatuurorgaantjes van menselijk weefsel waar medicijnen snel en veilig op getest kunnen worden. VarmX heeft een medicijn uitgevonden waarmee ernstige bloedingen voorkomen en gestopt kunnen worden bij mensen die bloedverdunners slikken.

DVI investeert niet alleen overheidsgeld maar trekt via het EIF ook geld vanuit de EU aan om de onderliggende fondsen verder te vullen. Voor elke euro die de Nederlandse overheid in DVI investeert, ontvangen Nederlandse bedrijven circa vijf euro aan investeringen. Sinds 2013 hebben de DVI-fondsen geleid tot 36 succesvolle zogenoemde exits (overnames of beursgangen). Gemiddeld is drie keer de inleg terugverdiend bij een succesvolle exit. Dat heeft ervoor gezorgd dat DVI afgelopen boekjaar een positief resultaat van 11,1 miljoen euro heeft behaald.

Naast DVI heeft de overheid meer manieren om risicokapitaal beschikbaar te maken voor innovatieve bedrijven. Op 30 oktober 2020 maakten het kabinet en Invest-NL bekend samen een half miljard euro te willen investeren in Nederlandse start- en scale-ups. Daarbij is ook het EIF betrokken, dat 150 miljoen mee-investeert. Naar inschatting van het EIF kan door investeringen van andere geldschieters uit te lokken in totaal meer dan 1,5 miljard euro worden gemobiliseerd.

Forbion secures EUR 460 million for oversubscribed fifth fund

Forbion, a leading European life science venture capital firm, today announces having secured its fifth flagship fund, Forbion V, at the hard cap amount of EUR 460 million, exceeding its original target size.

The Fund was launched at Forbion’s annual Limited Partners (LPs) meeting on 7 October 2020.

Investors in Forbion V include a mix of existing and new LPs, with both specialized institutional and corporate investors taking part, including Pantheon, Wilshire Associates, the Ewing Marion Kauffman Foundation and Argentum.

The investment period of Forbion V will commence in 2021, with the aim of building a portfolio of approximately 15 therapeutics companies, of which at least a third will be companies created by Forbion, so-called ‘Build’ opportunities, around either assets sourced from pharma or academic institutions, or around proven management teams. The remainder of investments by the Fund will be in highly impactful existing companies.

As with its previous funds, Forbion V will primarily focus on Europe comprising approximately 80% of investments, with the remainder of the fund targeting opportunities in North America.

Forbion will target substantial initial stakes of 20-50%, by taking lead positions and working closely with the entrepreneurial management teams to deliver outsized returns for Forbion LPs.

The demand for involvement in Forbion Fund V was driven by the firm’s long and consistent track record, as well as recent successful exits generating very substantial returns for its limited partners.

Recent exits include:

  • Roche acquired Promedior for up to USD 1.39 billion with an upfront payment of USD 390 million.
  • Women’s health company, KaNDy Therapeutics was acquired by Bayer for an upfront consideration of USD 425 million and significant additional consideration in the form of potential future milestone payments.
  • Roche acquired the full rights to the Inflazome portfolio of NLRP3 inflammasome inhibitors for an upfront payment of EUR 380 million plus additional, substantial, payments based on the achievement of certain predetermined milestones, making this a potential ‘fund returner’ for Forbion IV.
  • Enterprise Therapeutics’ novel TMEM16A potentiator portfolio was acquired by Roche for an upfront payment of GBP 75 million plus significant additional payments based on the achievement of certain predetermined milestones.
  • Neuromuscular disease company, Dyne Therapeutics successfully went public on Nasdaq in September of this year after closing a substantial cross-over round in August.
  • Recent new investments include: leading the USD 62 million Series A financing round for Prilenia Therapeutics, and the USD 35 million Series B financing round for Inversago Pharma.

Zuid-Koreaans “Nationaal Groeifonds” kiest voor biotechnologie

Nederland is niet het enige land dat kijkt naar het versterken van haar innovatie- en verdienvermogen. Zuid-Korea heeft vorige week een investering van ruim anderhalf miljard dollar in biotechnologie in de komende jaren bekendgemaakt. Hiermee komt Zuid-Korea in hetzelfde lijstje als Boston en Vlaanderen van landen en regio’s die proactief voor de life sciences kiezen als groeimotor. HollandBIO vraagt zich af: wanneer sluit Nederland zich aan bij deze winnende formule?

De Zuid-Koreaanse overheid gaat de komende jaren 30% meer investeren in biotechnologie. Daarbij gaat het land ook nog eens ruim 2000 nieuwe biotech professionals opleiden. Deze publieke investeringen gaan hand in hand met enorme private investeringen. Celltrion en Samsung bijvoorbeeld steken samen ruim 2 miljard dollar in de bouw van fabrieken en laboratoria. De verwachting is dat private investeringen in de Zuid-Koreaanse bio-gezondheidsindustrie toenemen naar in totaal 9 miljard dollar in 2023. Een verzesvoudiging van de overheidsinvestering!

Bij HollandBIO moeten we onze jaloezie onderdrukken als we dit soort duidelijke keuzes voor de life sciences zien. Zo is van de 20 miljard euro die bestemd is voor het Nationaal Groeifonds, geen apart deel bestemd voor biotechnologie. Ook blijven publieke investeringen in Nederland, of dat nu in de life sciences of in het algemeen is, achter bij vergelijkbare landen.

Dat Nederland vooralsnog geen expliciete keuze maakt voor de life sciences als groeimotor richting de toekomst is een gemiste kans. Biotech bedrijven ontwikkelen immers oplossingen voor grote maatschappelijke uitdagingen op duurzaamheid en gezondheid en vergroten tegelijkertijd het Nederlandse innovatie- en verdienvermogen op een duurzame manier. Met voldoende financiering die aansluit bij de behoeftes van bedrijven, soepele tech transfer en een aantrekkelijk investeringsklimaat kan ook de Nederlandse overheid werk maken van biotech. Wat ons betreft volgt Nederland zo snel mogelijk het voorbeeld van Zuid-Korea!

Samenwerking Brightlands Maastricht Health Campus en Thuja Capital biedt meer kansen voor spin-offs

Brightlands Maastricht Health Campus gaat een strategische samenwerking aan met investeerder Thuja Capital. Daarnaast investeert de campus samen met nog zes grote partijen waaronder de Limburgse ontwikkelingsmaatschappij LIOF en het Europees Investeringsfonds EIF in een nieuw investeringsfonds van Thuja. Het fonds heeft een startkapitaal van 45 miljoen euro om (door)starters in de healthcare op weg te helpen.

Volgens Jan Cobbenhagen, CEO van Brightlands Maastricht Health Campus, biedt de samenwerking met Thuja Capital extra kansen aan starters en spin-offs op de Maastrichtse campus. ‘Als een van de weinige life sciences venture capital fondsen investeert Thuja al vanaf de ‘seed’-fase. Daarbij wordt gekozen voor een actieve samenwerking met de Technology Transfer Organisaties (TTO) van universiteiten en UMC’s, zoals Brightlands Maastricht Health Campus. Deze strategische samenwerking stelt geselecteerde spin-offs in staat hun ‘investor readiness’ te vergroten middels toegang tot kennis, netwerk en expertise van Thuja.’

Thuja Capital is een van oudere venture capitalists in Nederland met vijftien jaar ervaring. In die periode heeft Thuja geïnvesteerd in een aantal succesvolle startups waaronder niet de geringste: ‘Argenx onder andere, inmiddels behorend tot de grootste biotechbedrijven van Europa’, zegt Michel Briejer, Managing Partner van Thuja Capital, niet zonder trots. ‘Sinds onze oprichting hebben we ons volledig geconcentreerd op startende ondernemers die een idee in de medische hoek willen omzetten in een bedrijf. Dan kan het gaan om de ontwikkeling van een nieuw medicijn, een medisch device of software. Producten die officieel gecertificeerd moeten worden, en waarvoor een markttoelating nodig is. Heel vaak ontstaan die ideeën in academische ziekenhuizen en universiteiten. Tijdens promotietrajecten bijvoorbeeld. Artsen en onderzoekers vinden een nieuwe aanpak voor een medicijn of bedenken een revolutionaire diagnosetool. Mooi, maar hoe gaat het verder? Geen bank of traditionele participatiemaatschappij die wil instappen, omdat het financiële risico te hoog is. Meestal blijft zo’n mooi idee dan op de plank liggen. Op zo’n moment komt een venture capitalist als Thuja Capital in beeld.’

Heeft Thuja dan een grote zak geld staan? ‘Zo eenvoudig is het niet’, vervolgt Michel Briejer. ‘Wij gaan eerst in gesprek met de onderzoeker danwel de ondernemer in spe. Na een eerste screening beslissen we of een nader onderzoek zinvol is. Zo ja, dan gaan wij bij ons brede netwerk te rade. Met specialisten toetsen we de technische en medische haalbaarheid, er volgt marktonderzoek en zo bouwen we aan een gedetailleerd businessplan. Dat bespreken we vervolgens met onze eigen adviesraad. Als zij ook enthousiast zijn, dan zorgen wij, in ruil voor aandelen, voor het benodigde kapitaal en begeleiding.’

Thuja is geen fonds dat uit is op snelle winst. ‘Integendeel. Participaties houden we gemiddeld acht tot tien jaar aan. Is het bedrijf volwassen, dan trekken we ons terug en verkopen we onze aandelen. Mooi voorbeeld is Nightbalance, dat een device voor behandeling van slaapapneu ontwikkelde en inmiddels door Philips is overgenomen. Of natuurlijk Argenx dat beursgenoteerd is. Uiteraard is het onze bedoeling om naast impact ook winst te maken. Voor onze aandeelhouders en omdat er altijd weer nieuwe ondernemers bij ons aankloppen. Onze missie is bijdragen aan innovaties met impact in de gezondheidszorg.’

Brightlands Maastricht Health Campus participeert voor een bescheiden bedrag in het Thuja Capital Healthcare Fund III. ‘Maar het gaat ons vooral om de strategische samenwerking. Die zal ertoe leiden dat we nóg beter in staat zijn de meest kansrijke ideeën van Universiteit Maastricht en Maastricht UMC+ om te zetten in succesvolle bedrijven met de noodzakelijke (vervolg)financiering’, aldus Jan Cobbenhagen. ‘Als campus is het onze taak spin-offs op te richten en hen te ondersteunen in hun groeiambities. Mooie ideeën moeten een vertaling vinden naar de maatschappij, naar praktische toepassingen zoals medicijnen en apparatuur. En dat vereist forse investeringen. De ‘investor readiness’ van spin-offs is dan ook cruciaal om succesvol die markt te bereiken. Thuja heeft veel ervaring met de financiering van spin-offs uit academische medische centra en universiteiten en heeft een breed venture capital netwerk. De participatie van LIOF in deze samenwerking is een pré voor ons ecosysteem. Ik ben er dan ook van overtuigd dat diverse spin-offs gaan profiteren van deze samenwerking.’

Thuja Capital is kind aan huis bij een aantal universitaire medische centra. In Nederland (Radboud en Utrecht UMC), België (Luik en Leuven) en ook in Duitsland (Aken). Ook twee Maastrichtse startups op de Brightlands Health Campus werken met kapitaal van Thuja. Via het derde Thuja Capital Healthcare Fund worden dat er ongetwijfeld meer. ‘Dat verwachten we wel’, zegt Michel Briejer. ‘Deze regio is zo innovatief met een aantal topcentra in Aken, Luik, Hasselt en Maastricht in een straal van pakweg 25 kilometer. We zien de grensoverschrijdende samenwerking groeien, krachten worden gebundeld. Het is niet voor niets dat Brightlands Maastricht Health Campus en LIOF in dit fonds instappen. Zij zien ons trackrecord, zij weten dat we met de expertise in ons netwerk goede keuzes maken. Andersom verheugen wij ons op de samenwerking. Met 45 miljoen euro hebben we flink wat slagkracht om 10 à 15 starters in het zadel te helpen. En dat kunnen er meer worden, want we willen het kapitaal verder uitbreiden. Er is belangstelling genoeg. Er is geen gebrek aan kapitaal. Wij werken echter niet met partijen die snel willen cashen.’

Tys van Elk, directeur van ontwikkelingsmaatschappij LIOF, over de deelname in het nieuwe fonds van Thuja Capital. ‘Een sterke fondsmanager met een sterk trackrecord, zowel inhoudelijk als qua rendementen op eerdere fondsen. Thuja is een zogenaamde lifecycle investeerder, waarbij het echt in groei van startup naar scale up en verder kan financieren. Het fonds sluit goed aan bij de ambities van de Brightlands Maastricht Health Campus, voor LIOF een belangrijke speler in het ecosysteem op dit gebied in Limburg.’

TargED closes €1.35mln seed investment and partners with UMC Utrecht for the development of Microlyse

TargED Biopharmaceuticals, a biotech spin-off of the University Medical Center Utrecht founded by Associate prof. Coen Maas, PhD, Steven de Maat, PhD, Marc van Moorsel and Kristof Vercruysse, raised EUR 1.35 million to develop a unique biotechnological drug for rapid degradation of blood clots that obstruct the vasculature. The funds include a seed investment from FIRST fund, Curie Capital and Utrecht Health Seed Fund as well as a public-private-partnership with UMC Utrecht, supported by additional funding from Health Holland.

Every year, approximately 1.3 million Europeans and 800.000 US citizens have a first stroke. Stroke is the second most common cause of death and a major cause of disabilityin developed economies. The majority of stroke events are caused by an occlusion of a blood vessel(thrombosis). TargED’s Microlyse, a new proprietary clot-busting compound,binds to a protein that is present in all forms of thrombosis, ranging from those that obstruct the largest vessels to the smallest vessels in the body (microvasculature). Due to its unique mechanism of action, Microlysecan stimulate a natural pathway that dissolves these blood clots. UNIIQ invests €200,000 in novel cancer therapeutics startup BIMINI Biotech

BIMINI Biotech, an innovative therapeutics startup that develops new cancer drugs, has secured an investment of €200,000 from proof-of-concept fund UNIIQ to further develop its technology. The company aims to use the growth hormone receptor to uniquely inhibit cancer cell growth. The investment was announced digitally by Ida Haisma, director of Leiden Bio Science Park.

BIMINI’s technology is based on pioneering research by Professor Ger Strous at UMC Utrecht and has shown promising results in the preclinical phase. The startup recently moved to Leiden to continue preclinical research and make the transition to the clinical phase.

Human growth hormone (GH) modulates cellular metabolism, leading to cell growth, cell reproduction and cell regeneration. GH also stimulates the production and secretion of insulin-like growth factor 1 (IGF-1) in many tissues. GH and IGF-1 both promote cell proliferation and suppress apoptosis.

The scientific literature and numerous animal studies and retrospective human studies indicate that this GH/IGF-1 axis plays an important role in cancer development. Overexpression of the axis in various types of cancer leads to explosive cellular growth, with cells triggering growth in themselves or surrounding cells. The GH/IGF-1 axis is therefore the ideal target for anti-cancer drug development.

Using this axis as a target, BIMINI’s strategy is based on a new mechanism that renders the growth hormone receptor dysfunctional. This approach elegantly mimics nature by making cells less sensitive to growth hormone as seen in Laron syndrome (a specific type of dwarfism). People with this condition, characterised by growth hormone receptor deficiency, have been found to be resistant to diseases like cancer.

Three small molecules (BM001-003) have been identified and patented by BIMINI, of which BM001 is the lead compound currently being used in the preclinical phase. This compound has shown, both in vitro and in vivo, promising anti-cancer effects for different types of cancer.

The GH/IGF-1 axis is not only involved in cancer development but in other areas too, including metabolic disorders and the ageing process. This innovative approach may therefore prove applicable to other indications in the future. Indeed, BIMINI aims to develop a drug discovery platform around the GH/IGF-1 axis and aspires to become a leading innovator in growth hormone receptor-based therapeutics.

The startup will use UNIIQ’s capital injection for additional in vivo efficacy studies as well as for toxicological and ADME experiments, while further strengthening its IP position and organisational development.
