Orchard Therapeutics Announces $150 Million Strategic Financing

Orchard Therapeutics (Nasdaq: ORTX), a global gene therapy leader, announced that it has executed a securities purchase agreement to raise gross proceeds of $150 million resulting from the sale of 24,115,755 shares through a private investment in public equity (PIPE) financing at a price of $6.22 per share. The financing attracted several existing and new investors with expertise in healthcare, including RA Capital Management, Avidity Partners, Casdin Capital, Farallon Capital, and Surveyor Capital (a Citadel company), among others.

The Company intends to use the net proceeds from the offering to support its growing commercial capabilities, including the launch of LibmeldyTM in Europe, advance its regulatory and clinical development activities and expand its hematopoietic stem cell (HSC) gene therapy approach into larger indications, as well as for general corporate purposes.

“The updates we made to our strategy in 2020 have allowed us to focus on successfully achieving a number of important milestones over the past few quarters, including the approval of Libmeldy in Europe and clearing an IND and receiving RMAT designation for OTL-200 for MLD in the U.S.,” said Frank Thomas, president and chief operating officer. “We look forward to building on this strong execution with the support of a strategic group of investors who recognize the potential of HSC gene therapy to address genetic diseases with high unmet need, including conditions such as MPS-I and MPS-IIIA, with new data on our related clinical programs at the WORLDSymposium next week.”

The financing is anticipated to close on February 9, 2021, subject to customary closing conditions. Cowen acted as lead placement agent, and Cantor Fitzgerald & Co. and Oppenheimer & Co. Inc. acted as co-placement agents.

The securities are being sold in a private placement and have not been registered under the Securities Act of 1933, as amended, and may not be offered or sold in the United States absent registration or an applicable exemption from registration requirements. Valorisatie-postdocs in spé, daar stimuleer je valorisatie en ondernemerschap mee

Tijdens Impact2021 introduceert de Vereniging van Universiteiten (VSNU) hun landelijke postdocprogramma gericht op ondernemerschap en valorisatie; de Faculty of Impact. De VSNU heeft het afgelopen jaar samen met NWO, Techleap en de ministeries EZK en OCW gewerkt aan dit nieuwe valorisatieconcept. Het is de bedoeling dat de Faculty of Impact in het najaar van 2021 van start gaat.

Smaak te pakken

HollandBIO is blij om te zien dat de beweging, om valorisatie en ondernemerschap te stimuleren, is ingezet. Vorige week publiceerden wij het artikel ‘Op naar meer wetenschappelijke relevantie, valorisatie en ondernemerschap in de academie’ waarin een consortium, waar wederom ook VSNU en NWO onderdeel van zijn, een nationaal initatief aankondigden om de academische gemeenschap anders te willen erkennen en waarderen. De nieuwe focus ligt op maatschappelijke relevantie waar ook valorisatie en ondernemerschap onder vallen. Dat smaakt niet alleen bij HollandBIO naar meer, maar zo ook bij de VSNU. Klaar voor de start…af! Op naar meer kennis uit het lab de maatschappij inbrengen!   

Stimuleren van academisch ondernemerschap loont

In het artikel van de VSNU schrijft VSNU-voorzitter Pieter Duisenberg het volgende: “Ik ben supertrots dat we dit prachtige programma hebben kunnen ontwikkelen voor al die knappe koppen die willen ondernemen met hun idee. Hiermee stimuleren we dat onderzoek de samenleving in gaat en nog meer dat ondernemen en wetenschap hand in hand gaan in ons land. Met dit soort initiatieven willen we eraan bijdragen dat Nederland een leidende kennis- en innovatiedelta binnen Europa en de wereld is.”

Daar sluiten wij ons graag bij aan. Binnen ons programma ‘IJzersterk Innovatieklimaat’ zetten wij ons in om valorisatie in de brede zin van het woord te versoepelen Alleen dan wordt de kans groter dat excellente kennis verder ontwikkeld wordt tot producten die daadwerkelijk betekenis hebben voor de maatschappij. Het stimuleren van academisch ondernemerschap middels dit postdocprogramma is daar een mooi voorbeeld van.

Nederland behaalt zevende plaats in de European scale-up monitor

Nederland huist relatief veel scale-up bedrijven, zo blijkt uit de vorige week uitgekomen European scale-up monitor van het Erasmus Centre for Entrepreneurship. Met ruim 450 scale-ups staat Nederland daarmee op de zevende plaats in Europa. Na Zweden (#4) is Nederland daarmee het hoogst gekwalificeerde “kleine” land (in termen van inwoneraantal).

Een sector met potentieel
De Life Sciences zijn met recht een groeimotor te noemen. Over heel Europa bezien heeft de sector van de tien onderzochte sectoren nu nog het minste aantal volgroeide bedrijven, maar afgemeten aan het aantal scale-ups klimt de sector naar een vijfde plaats. Hieruit blijkt de enorme potentie van de sector en het belang van onze sector groeit alleen maar. Vanuit HollandBIO moedigen we die groei maar wat graag aan, zodat in een volgende scale-up monitor Nederland nóg beter scoort!

Immunicum AB (publ) Plans to Expand its Research and Process Development Facilities in Leiden, the Netherlands

Immunicum AB (publ; IMMU.ST) announced that its in-house research and process development activities will move into a new facility at the Leiden Bio Science Park, the Netherlands. The Company has signed a long-term lease with developer Kadans Science Partner for approximately 1,100 square meters of laboratory and office space in the Plus Ultra Leiden, a new building currently under development. Furthermore, Immunicum has the option to rent an additional 1,100 square meters to further support its future growth. The new location, that is expected to be fully commissioned in 2022, will serve as Immunicum’s core research and development hub. 

“This state-of-the-art facility in one of Europe’s most vibrant life sciences research communities is an integral part of our corporate strategy as it will enable us to rapidly and cost-effectively continue the development of potential transformative treatment options for cancer patients,” stated Sven Rohmann, M.D., Ph.D., CEO of Immunicum. “Following the combination with DCprime, we have strengthened our team of leading experts and we will establish this new facility as a center of excellence, thereby gaining full control over crucial product development aspects of our cell-based therapies.”

The new facility will house the entire Leiden-based operation of Immunicum. Multiple laboratory suites will support Immunicum’s research and development activities for the now expanded pipeline of next-generation cell-based immunotherapies following the business combination announced in December last year.

Invest-NL investeert in Protix

Invest-NL is verheugd met het financieren van de innovatieve, snelgroeiende scale-up Protix. Het is de eerste transactie van Invest-NL die een directe bijdrage levert aan de eiwittransitie in de AgriFood sector.

Protix kweekt insecten voor de winning van duurzame eiwitten en vetten uit larven van de “Black Soldier Fly”. Deze eiwitten en vetten worden door de afnemers van Protix gebruikt als grondstof in diervoeding en visvoer, en zijn een aantrekkelijk en duurzamer ingrediënt dan bijvoorbeeld soja, vismeel en palmolie.

Als onderdeel van een investeringsronde van € 15,5 miljoen investeert Invest-NL € 7,5 miljoen in de vorm van een converteerbare lening. Naast Invest-NL zijn ook de huidige aandeelhouders van Protix bij de transactie betrokken; geleid door Aqua-Spark, Rabo Corporate Investments en de Brabantse Ontwikkelings Maatschappij. Met deze financieringsronde kan Protix haar productiecapaciteit verder optimaliseren en zich voorbereiden op de verdere internationale expansie.

Het financieren van Protix sluit goed aan bij de focus op de CO2 neutrale transitie en innovatieve, snelgroeiende bedrijven die leidend is in de investeringsstrategie van Invest-NL. Wouter Bos (CEO Invest-NL) over de Protix transactie: “Ik ben verheugd dat we Protix kunnen ondersteunen in het versterken van haar internationale toppositie in de snelgroeiende markt voor ‘Insect based ingredients’. Ook vind ik het positief dat we deze transactie samen met het Europees Investeringsfonds (EIF) tot stand brengen. Met de ‘InnovFin SME guarantee’ die we recent met het EIF zijn overeengekomen kunnen innovatieve, snelgroeiende bedrijven met behulp van Europese investeringsgelden nog sneller opschalen”.

Op naar meer wetenschappelijke relevantie, valorisatie en ondernemerschap in de academie

De VSNU, NFU, KNAW, ZonMw en NWO zijn samen een nationaal initiatief gestart om de academische gemeenschap op een nieuwe manier te erkennen en waarderen. Het huidige systeem focust te veel op kwantitatieve indicatoren zoals publicaties en citaties en minder op de kwalitatieve indicatoren teamprestaties en maatschappelijke relevantie. Ook HollandBIO vindt dat het tijd is om de focus op maatschappelijke relevantie te versterken. Want de samenleving heeft alleen iets aan kennis die de maatschappij ook daadwerkelijk bereikt.

Nationaal initiatief om werk te maken van het nieuwe erkennen en waarderen

De position paper ‘Room for everyone’s talent’ van het consortium vormt de aftrap van het nationaal initiatief. Hierin pleiten zij voor een cultuurverandering die onderwijs, onderzoek en maatschappelijke relevantie in een betere balans brengt. HollandBIO is blij met dit geluid, omdat ondernemerschap, naast onderwijs en onderzoek, de belangrijke taak is van universiteiten. Door dit pleidooi krijgt de pijler ‘ondernemerschap’ meer aandacht.

Maatschappelijk relevant = excellente kennis omzetten tot producten

Recent onderzoek van HollandBIO toont aan dat Nederland een goede kennispositie heeft. Helaas blijven de mate van bedrijvigheid en producten in ontwikkeling sterk achter. Alleen wanneer we kennis omzetten in producten die patiënten en consumenten bereiken, realiseren we maatschappelijke relevantie.

Hoe kunnen we dan maatschappelijke relevantie aanbrengen bij het erkennen en waarderen van academici? HollandBIO ziet drie relevante aanbevelingen:

  • Soepelere valorisatie
  • Academisch ondernemerschap als erkend carrièrepad
  • Kwalitatieve indicatoren zoals het ontwikkelen van academische spin-offs en patenten

Lilly and Merus NV Announce Collaboration to Discover Novel T-Cell Re-Directing Bispecific Antibodies

 Loxo Oncology at Lilly, a research and development group of Eli Lilly and Company (NYSE: LLY), and Merus N.V. (NASDAQ: MRUS), a clinical-stage oncology company developing multi-specific antibodies, today announced a research collaboration and exclusive license agreement that will leverage Merus’ proprietary Biclonics® platform along with the scientific and rational drug design expertise of Loxo Oncology at Lilly to research and develop up to three CD3-engaging T-cell re-directing bispecific antibody therapies.

Under the terms of the agreement, Merus will lead discovery and early stage research activities while Loxo Oncology at Lilly will be responsible for additional research, development and commercialization activities. Merus will receive an upfront cash payment of $40 million, as well as an equity investment by Lilly of $20 million in Merus common shares. Merus is also eligible to receive up to $540 million in potential development and commercialization milestones per product, for a total of up to approximately $1.6 billion for three products, as well as tiered royalties ranging from the mid-single to low-double digits on product sales should Lilly successfully commercialize a therapy from the collaboration.

“CD3-engaging bispecific antibodies are rapidly becoming one of the most transformative immune-modulating modalities used to treat cancer. We expect these therapies will become an important component of the Loxo Oncology at Lilly biologics strategy,” said Jacob Van Naarden, chief operating officer of Loxo Oncology at Lilly. “Merus has built a differentiated platform and one that we believe can enable us to create bispecific antibody therapies with wider therapeutic indexes than those available today. We look forward to working closely with Merus to develop new potential medicines for patients with cancer.”

“The collaboration with Loxo Oncology at Lilly and their world class research capabilities opens up exciting possibilities for Merus’ Biclonics® platform,” said Bill Lundberg, MD., President and Chief Executive Officer at Merus. “Our CD3 T-cell engager platform includes over 175 novel and diverse anti-CD3 common light chain antibodies across a wide range of affinities and attributes and enables functional screening of large libraries for optimal performance. This transaction is subject to customary closing conditions. This transaction will be reflected in Lilly’s reported results and financial guidance according to Generally Accepted Accounting Principles (GAAP). There will be no change to Lilly’s 2021 non-GAAP earnings per share guidance as a result of this transaction.

LSP and Philip Scheltens launch new, unique fund to fight dementia

LSP, the leading European life sciences investor, today announces the launch of the LSP Dementia Fund, a fund dedicated to fight neurodegenerative diseases. The fund will be managed by Professor Philip Scheltens, a world-renowned dementia scientist and thought leader.

Dementia is the greatest healthcare challenge of our time. A staggering 50 million patients suffer from dementia worldwide and predicted to triple to 150 million before the year 2050. The burden to our healthcare system is equally large; global costs are currently estimated to amount to over $800 billion – or 1.1% of global GDP – and will rise exponentially if no treatment is found. Yet, investments in R&D to find novel treatments are lagging behind.

The LSP Dementia Fund focuses on all stages of dementia drug and medtech development and as such is the first of its kind in the world. The focus will be on finding novel treatments to battle the different neurodegenerative diseases, such as Alzheimer’s disease, that cause dementia, as well as generating a strong financial return for investors. This makes the LSP Dementia Fund a true impact investment. In just a few months, LSP raised €50 million from strategic parties, financial institutions, and family offices. Given this significant appetite of investors, LSP believes the fund will ultimately reach at least €150 million.

NewAmsterdam Pharma Completes $196M (€160M) Series A Funding for Comprehensive Phase 3 Development Program

NewAmsterdam Pharma (NAP), a clinical stage company focused on the research and development of transformative therapies for cardio-metabolic diseases, today announced completion of a $196M (€160M) Series A funding round.

The financing will support the full Phase 3 development of its ApoB and LDL-c lowering small molecule drug, obicetrapib. The drug, a cholesteryl ester transfer protein (CETP) inhibitor, is being developed for patients who are not well-controlled on statins.

Forbion, NAP’s founding investor, was joined by Morningside Ventures and Ascendant BioCapital as co-lead investors in the Series A financing. Also participating in this funding round were Kaiser Foundation Hospitals, BVF Partners L.P., Population Health Partners, LSP Dementia Fund, Peter Thiel, Janus Henderson Investors, Medpace, GL Capital, JVC Investment Partners, and Presight Capital.  

“This is an important milestone in the advancement of obicetrapib and the growth of NewAmsterdam Pharma,” said Michael Davidson, MD, chief executive officer of NewAmsterdam Pharma. “The tremendous support of our investors allows us to initiate a large, Phase 3 development program as we work to create a new option for the millions of high cardiovascular risks patients globally who, despite maximally tolerated statin therapy, require additional LDL-c lowering options.”

“Effectively inhibiting CETP to reduce atherosclerotic risk in patients is something Dr. Davidson and I have been endeavoring to achieve in our field of research for more than two decades,” said John Kastelein, MD, PhD, FESC, chief scientific officer of NewAmsterdam Pharma. “Long term follow up from the 2017 REVEAL study validated CETP as a target to lower LDL-c and reduce major adverse cardiac events (MACE).1 We believe that in obicetrapib, based on clinical studies to date, we have a molecule which is well tolerated and has not shown any of the safety issues of previous CETP inhibitors. Furthermore, based on the surrogate endpoints of the REVEAL study, obicetrapib was shown to be more effective at lowering LDL-c at a 5 mg dose in comparison to a 100 mg dose of anacetrapib.”

“Cardiovascular disease remains the leading cause of disability-adjusted life years globally, and tens of millions of patients struggle to reach LDL-c goals on current therapies, demonstrating a clear need for novel agents,” said Gaurav Gupta, MD of Ascendant BioCapital. “CETP-silencing mutations correspond to lower cardiovascular risk, and given the potent pharmacology demonstrated in the TULIP study2, we expect obicetrapib to become a significant part of the treatment paradigm for dyslipidemia globally.”

Two Phase 2b clinical trials for obicetrapib are underway with targeted completion in Q2 2021. NAP is looking to initiate Phase 3 clinical trials in Q4 2021.

DSM en TU Delft realiseren laboratorium voor kunstmatige intelligentie als stimulans voor biowetenschappelijke innovatie

Koninklijke DSM, een wereldwijd bedrijf dat vanuit wetenschappelijke basis actief is op het gebied van gezondheid, voeding en duurzaam leven, en de TU Delft, met haar reputatie als een van de beste universiteiten ter wereld op het gebied van biotechnologisch onderzoek, kondigen de oprichting aan van het Artificial Intelligence Lab for Biosciences (het AI4B.io Lab). Dit laboratorium is het eerste in zijn soort in Europa dat kunstmatige intelligentie (KI) toepast op volledige bioproductie, van de ontwikkeling van microbiële stammen tot grootschalige industriële procesoptimalisatie en planning.

Het AI4B.io Lab is onderdeel van het Innovation Center for Artificial Intelligence (ICAI) dat zich ervoor inzet om Nederland aan de top te houden op het gebied van kennis en talentontwikkeling in kunstmatige intelligentie. Het laboratorium wordt geleid professor Marcel Reinders, directeur van het TU Delft Bioengineering Institute. DSM beschouwt biowetenschappen als een belangrijk hulpmiddel om klimaatverandering en grondstoffen schaarste aan te pakken en wereldwijd het voedselsysteem te verbeteren. Het bedrijf investeert daarom de eerste vijf jaar 2,5 miljoen euro in het laboratorium.

Met meer dan 150 jaar ervaring heeft DSM een uitgebreid portfolio opgebouwd van duurzame, biotechnologische oplossingen die ondersteunen bij de aanpak van een aantal grote maatschappelijke uitdagingen. Toegenomen kennis van biologie en enorme vooruitgang op het gebied van digitale transformatie, bieden vandaag de dag fascinerende mogelijkheden voor nieuwe biotechnologische producten, toepassingen en productieprocessen. Door biowetenschappen en digitale technologieën te integreren, kan de tijd die wordt besteed aan innovatiecycli – van prototype tot finetunen en vermarkten – worden verkort.

Gewenst doel komt digitaal tot leven

Van oudsher is wetenschappelijk onderzoek een proces van trial and error in meerdere deelonderzoeken die gezamenlijk toewerken naar een specifiek doel, zoals een nieuw product of een nieuwe productietechnologie. Wat KI zo uniek maakt, is dat het wetenschappers in staat stelt dit proces om te keren. Het gewenste doel wordt tot leven gebracht in een digitale omgeving met behulp van digital twins, een virtuele en levensechte versie van de gewenste situatie, en met toepassing van machine learning wordt inzichtelijk op welke manier die situatie kan worden bereikt. Hoewel KI al op grote schaal wordt toegepast in technologisch onderzoek, bijvoorbeeld om fysieke windturbines of tunnels te vervangen door digital twins, is het AI4B.io Lab het eerste in zijn soort dat de mogelijkheden onderzoekt van KI in de biowetenschappen en bioproductie.

Zonder samenwerking geen innovatie

Intensief samenwerken met partners stimuleert vooruitgang en opent deuren naar nieuwe technologieën. Om die reden besloten DSM met TU Delft samen te werken om het AI4B.io Lab op te zetten en te ontwikkelen. Het wordt het derde ICAI-lab op de TU Delft Campus, naast het AI for Retail Lab Delft van Ahold Delhaize en het AI for Fintech Lab van ING. Ook investeert TU Delft in 24 interdisciplinaire KI-laboratoria op verschillende gebieden om de samenwerking te bevorderen tussen wetenschappers die zich bezighouden met KI en wetenschappers uit andere vakgebieden. Het AI4B.io Lab zal ook samenwerken met Planet B.io, het open innovatie-ecosysteem op de Biotech Campus Delft, bijvoorbeeld door de inzichten uit onderzoek te delen en advies te geven aan biotech startups op de campus. Zowel DSM als TU Delft zijn medeoprichters van Planet B.io.

Met deze intensieve en vergaande samenwerking versterken de partners de positie van Delft als bio-economische hoofdstad van wereldformaat.

Professor Marcel Reinders, Directeur TU Delft Bioengineering Institute: ‘Biotechnologie kan aanzienlijk bijdragen aan het oplossen van grote maatschappelijke problemen zoals klimaatverandering, gezonde voeding voor de snelgroeiende wereldbevolking en schaarste van grondstoffen. KI speelt een belangrijke rol in de ontwikkeling van biotechnologische toepassingen, maar vanuit wetenschappelijk oogpunt gezien zijn er nog altijd veel vragen te beantwoorden op cellulair, laboratorium- en procesniveau. Door ons fundamentele onderzoek te koppelen aan concrete kansen bij DSM, kunnen we onze impact maximaliseren.’

Marcus Remmers, Chief Technology Officer DSM: ‘De TU Delft heeft een bewezen staat van dienst in baanbrekend onderzoek op het gebied van KI, biotechnologie en bio-informatica.
